Annual Meeting 2020 – Procedure

Dear Members,

 

The Board of Directors of the AR-BID hopes that you are staying at home, and pleads you to do so, following the Government guidelines, for your own health and safety and that of your families and communities. This is an unprecedented time and we need to take care of ourselves.

 

As the month of our Annual Meeting approaches, we would like to inform you that the Board has decided to take the following steps.

 

The main purpose of the Annual meeting is to: (i) receive and approve the financial and operating reports; (ii) proclaim the results of the elections of Directors; and (iii) resolve any other matter brought to the consideration of the Board of Directors. Due to the circumstances surrounding the coronavirus, the Annual Meeting will not be held in person. Instead, to fulfill the requirements of our By-Laws, specifically Article 5.a.1 as close as possible, the Association will proceed in a two-step approach as follows:

 

  1. On April 6th, 2020, you will receive from the Association an email with the 2019 Financial Statements for approval. Members will have five working days, that is, until April 10, 2020, to submit any questions, comments or objections regarding the Financial Statements. In the absence of any unresolved issues, the Financial Statements for 2019 will be declared approved on April 17, 2020, at 5:00 p.m.
  2. From April 6th to the 10th, 2020, any other question or matter that you have may also be put for the consideration of the Board, as you would have done in an in-person Annual Meeting.
  3. On April 23rd, 2020, you will receive from the Association an email with a video from the Scrutiny Committee Coordinator, Juan Manuel Fariña, announcing the results of the 2020 election along with a message from the President of the Association, David Atkinson, as well as a message from the President of the IDB, Luis Alberto Moreno. An electronic copy of the 2019 Annual Report will follow.
  4. The results of the election will become effective May 1st, 2020.

We encourage you to stay in touch with each other by phone, by email, or through social media in a spirit of camaraderie and mutual support. We may be separated physically but we can keep ourselves united during this difficult time.
